The Institute of Directors in Malawi was established in 2003. It was incorporated as a company limited by guarantee under the Malawi Companies Act, 1984(Cap 46:03) of the laws of Malawi with the primary purpose of promoting good corporate governance in Malawi.

The IOD mission is ‘to provide Malawi with a centre of excellence in corporate governance and other areas of benefit and interest to the Directors of all types of organisations in Malawi’.

| Vision |
To promote excellence in corporate governance practices in Malawi through research and educational director development programs thus contributing to better performance of corporations and to a more fair, responsible and transparent society.
Good Corporate governance is increasingly recognized as an important element for sustainable economic development and it is against this backdrop that the IOD was established to take a leading role in educating and informing directors and other management executives of their legal, moral, and general rights, duties and responsibilities in respect of their organizations and society and also to inculcate in them the highest standards of business ethics.

| Objectives |
In order to promote good corporate governance in Malawi, the IOD will;
- Take custody of the code of best practice for Corporate Governance in Malawi and promote its compliance.
- Promote effective corporate governance (the proper function of the Board of directors and other senior managers in companies of all sizes)
- Educate and inform directors and senior managers of their legal, moral, and general rights, duties and responsibilities vis a vis the organisations they represent and to society in general.
- Advance the competence and knowledge of its members by arranging seminars, study courses, conferences, and visits.
- Take a continuing and effective interest in legislation in order to ensure as far as possible that basic commercial freedoms and rights are preserved and that a climate conducive to sound and sustainable economic growth is maintained.
- Provide an effective voice for directors and executives in public affairs.
- Uphold and maintain the concept of a formal business entity (e.g. body corporate, Partnership, Co-operative e.t.c) and its importance to a free enterprise country.
